Terms and Conditions

Last updated: March 25, 2026

1. Definitions

  • "Service": the merqori.com SaaS application, including all associated functionality
  • "Provider": merqori B.V., provider of the Service, registered with the Dutch Chamber of Commerce under [KvK: INVULLEN], VAT number [BTW: INVULLEN], established at [Vestigingsadres: INVULLEN]. Contact: info@merqori.com
  • "Customer": the legal entity or natural person creating an account and using the Service
  • "User": an employee or representative of the Customer with access to the Service
  • "Data": all data the Customer uploads or enters into the Service

2. Applicability

These terms apply to all agreements between Provider and Customer concerning the Service. By creating an account, the Customer accepts these terms. Conflicting Customer terms do not apply unless otherwise agreed in writing.

The Service is offered exclusively to businesses and professionals acting in the exercise of their profession or business. The Service is not intended for consumers. The statutory 14-day right of withdrawal for distance consumer contracts (Book 6 of the Dutch Civil Code) therefore does not apply. By creating an account, the Customer declares that it acts as a business or professional.

3. The Service

merqori.com is an analysis tool for comparing orders, marketplace payouts, commissions and returns to detect financial discrepancies. The Service is solely a supporting tool. The Provider offers no financial, tax or legal advice. The Customer is responsible for decisions based on the Service’s results.

4. Subscriptions and payment

  • The Service is offered on a monthly or annual subscription. The subscription automatically renews each time for the same period, unless cancelled in time (see article 10).
  • Prices and plan limits are published on the website. The Provider reserves the right to change prices with 30 days’ notice.
  • Payments are processed through Stripe. In case of non-payment, the Provider may suspend access after a reminder.
  • Because the Service is offered exclusively to businesses, no statutory right of withdrawal applies. Subscription amounts already paid are not refunded, except where mandatory law requires. A monthly subscription can, however, be cancelled immediately so that it does not renew again (see article 10).

5. Data ownership

All Data uploaded by the Customer remains the Customer’s property. The Provider grants no third-party rights to this Data. The Provider may use anonymized, aggregated statistics for product development, provided no identifiable information is used.

6. Customer obligations

The Customer is responsible for:

  • Providing accurate and complete data
  • Keeping login credentials confidential
  • Complying with applicable laws (including GDPR) for uploaded data
  • Not uploading data without a lawful basis
  • Observing the limits of the selected subscription

7. Availability and maintenance

The Provider aims for 99.5% monthly availability, excluding scheduled maintenance. Scheduled maintenance is announced at least 24 hours in advance. The Provider does not guarantee uninterrupted availability and is not liable for damage from temporary unavailability.

8. Limitation of liability

The Provider’s liability is limited to subscription fees paid by the Customer during the three months before the event causing damage. The Provider is never liable for consequential damage, lost profits, lost savings or damage from data loss.

The Service detects potential financial discrepancies in Customer-provided data. The Provider does not guarantee that all discrepancies are detected or that results are accurate. The Customer must always verify results independently.

9. Confidentiality

Both parties keep the other party’s confidential information strictly confidential and do not disclose it to third parties without written consent, unless legally required. Subprocessors (see Privacy Policy) are exempt to the extent necessary to provide the Service.

10. Duration and termination

  • A monthly subscription can be cancelled immediately; access continues until the end of the paid period.
  • An annual subscription can be cancelled with 30 days’ notice before renewal.
  • On cancellation, the Customer can export their data. Data is deleted 30 days after the account ends, unless statutory retention applies.
  • The Provider may terminate the agreement immediately for a serious breach of these terms.

11. Governing law and disputes

This agreement is governed by Dutch law. Disputes are submitted to the competent court in the district of Amsterdam.
